1. About These Terms

These Terms describe the general conditions under which Kerân Sam ("Kerân Sam", "Keran Sam", "I", "me", "my", "we," "us," or "our") provides services.

They are intended to provide a general understanding of how services are considered, proposed, accepted, and carried out. The specific terms of an engagement are confirmed separately in the applicable proposal, agreement, or other written confirmation.

2. Selective Engagements

Kerân Sam accepts a limited number of engagements each year. Every request is considered individually based on factors including the nature of the work, timing, scope, availability, and whether the engagement is an appropriate fit.

Contacting Kerân Sam does not create an obligation to work together. Kerân Sam may decline a request at its discretion and is not required to accept every inquiry or provide a reason for declining.

3. Proposals and Quotes

Initial inquiries, discussions, and proposals may be provided without charge unless otherwise agreed.

A proposal or quote describes a potential engagement and does not itself create an obligation to begin work. An engagement becomes confirmed only when the applicable terms have been accepted and the required payment has been received.

4. Fees and Payment

Unless otherwise agreed in writing, fees are payable in full before work begins.

Kerân Sam does not begin an engagement until the agreed payment has been received. Payment confirms the reservation of the agreed engagement and the associated availability.

5. Minimum Engagements

Depending on the nature, complexity, and objectives of the work, a minimum engagement period may apply.

A minimum period may be three months, six months, or another period specified in the proposal or agreement. Minimum periods allow sufficient time to understand the circumstances, develop an informed approach, carry out the work, and properly assess its progress.

6. Scope of Work

The scope, objectives, deliverables, timing, fees, and other relevant conditions of each engagement are agreed before work begins.

Work outside the agreed scope may require a separate agreement, additional fee, or adjustment to the engagement period.

7. Client Responsibilities

The quality and progress of work may depend on the timely provision of information, access, decisions, feedback, and cooperation from the client.

Kerân Sam is not responsible for delays or limitations caused by information, decisions, materials, approvals, or access that are not provided when reasonably required.

8. Nature of the Work

Services involve professional judgement, recommendations, analysis, and creative or strategic direction. While the work is intended to provide meaningful value, Kerân Sam does not guarantee a particular commercial, financial, market, or business result.

9. Confidentiality

Information shared in confidence during an engagement will be treated as confidential, subject to applicable law and any specific confidentiality agreement between the parties.

10. Intellectual Property

Ownership and permitted use of work created during an engagement will be determined by the applicable proposal, agreement, or written terms between Kerân Sam and the client.

Unless otherwise agreed, pre-existing methods, knowledge, concepts, frameworks, tools, and materials remain the property of the party that originally created them.

11. Ending an Engagement

The conditions for ending an engagement, including any notice period, minimum commitment, outstanding fees, or other obligations, will be specified in the applicable proposal or agreement.

12. Changes to These Terms

These Terms may be updated from time to time. The version published on this website reflects the general terms currently applicable to new engagements.

The terms specifically agreed with a client in a signed agreement, accepted proposal, or other written engagement document will govern that engagement where they differ from these general Terms.
